1. Introduction and Acceptance

These Terms of Use ("Terms") govern your access to and use of the website operated by Ultrathink Solutions LLC ("Ultrathink", "Company", "we", "us", or "our") at https://ultrathinksolutions.com (the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you may not access or use the Site.

These Terms apply to your use of the public marketing website. Use of any Ultrathink product or service is governed by a separate Master Services Agreement ("MSA"), Statement of Work, or other written agreement between you and Ultrathink. In the event of a conflict between these Terms and an applicable MSA, the MSA controls.

2. Definitions

• Content means any text, images, audio, video, code, software, design, documentation, and other materials published on the Site.
• Site means the Ultrathink Solutions website at ultrathinksolutions.com, including all associated subdomains.
• You or User means any individual or entity accessing the Site.
• Customer or Client means an entity that has executed an MSA or other written agreement with Ultrathink for the delivery of services.

3. Services Provided

The Site provides information about Ultrathink Solutions, our methodologies (including the Synapse Cycle™), our platform (Ultrathink Axon™), and related services. Content is published for informational purposes only and does not constitute professional, legal, financial, or other advice. The Site is not a portal for the delivery of contracted services; production services are delivered to Customers through separate environments under the applicable MSA.

4. User Obligations and Responsibilities

By using the Site, you agree to:

• Use the Site only for lawful purposes
• Not attempt to gain unauthorized access to any portion of the Site, related systems, or networks
• Not interfere with or disrupt the Site or any servers or networks connected to the Site
• Not scrape, crawl, or otherwise systematically extract data from the Site beyond reasonable browsing and indexing by recognized search engines
• Not introduce viruses, malware, or other malicious code
• Not use the Site to impersonate any person or entity
• Not engage in any activity that interferes with another user's access to the Site
• Comply with all applicable laws and regulations

Access to and use of the Site is free of charge. Fees for Ultrathink services are governed by the applicable MSA or Statement of Work between Ultrathink and the Customer. No fees, charges, or payment terms apply to public Site visitors.

All Content on the Site is owned by Ultrathink Solutions LLC or its licensors and is protected by United States and international intellectual property laws. "Ultrathink", "Synapse Cycle", and "Ultrathink Axon" are trademarks of Ultrathink Solutions LLC. Other trademarks referenced on the Site are the property of their respective owners.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Site for personal, non-commercial use, and to share links to publicly available pages. You may not:

• Reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform Content without our prior written consent
• Use any data mining, robots, scraping, or similar data extraction methods
• Use Content in any product or service, including any AI training corpus, without prior written authorization

User-Generated Content: To the extent you submit content to us (for example, through a contact form, newsletter signup, or other interactive feature), you grant Ultrathink a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and display such content solely for the purposes for which it was submitted and to operate and improve the Site.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

These limitations apply to the maximum extent permitted by applicable law and do not limit liability that cannot legally be excluded.

Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Westchester County, New York, and you consent to the jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
